Many of the statutory provisions relating to the capital of a company are concerned with the allotment of shares. References in the Companies Acts to allotted share capital are to shares of a company that have been allotted. [Section 546(1)(b) .] Shares taken on formation of a company by its subscribers are included in such references. [Section 546(2) .] An allotment of shares is a contractual process. [On which see PCL Ch.5.7.] For the purposes of the Acts, shares are allotted when a person acquires the unconditional right to be included in the company's register of members in respect of those shares. [Section 558 .]
